Ominigo is a software platform that provides AI-powered customer communication, WhatsApp automation and appointment booking functionality for businesses.

By creating an Ominigo account, accessing the platform, connecting WhatsApp or purchasing an Ominigo plan, you agree to these Terms & Conditions.

If you do not agree with these Terms, you should not use Ominigo.

If you are using Ominigo on behalf of a business or organisation, you confirm that you have authority to accept these Terms on its behalf.

You are responsible for providing accurate information when creating your account and keeping your account information up-to-date.

You are responsible for protecting your login credentials and for activity that occurs through your account.

You must notify Ominigo if you believe that your account has been accessed without permission.

You may use Ominigo only for legitimate business purposes and in accordance with applicable laws and regulations.

You must not use Ominigo to:

• • Send unlawful, fraudulent, abusive or misleading content.
• • Harass, threaten or impersonate another person or business.
• • Send spam or unsolicited communications where prohibited.
• • Attempt to gain unauthorised access to Ominigo or another customer's account.
• • Interfere with the operation or security of the platform.
• • Use Ominigo to violate the rights of another person.
• • Use the service for activity that is illegal or prohibited by applicable messaging-platform rules.

Ominigo may allow you to connect a WhatsApp account or business messaging channel.

You are responsible for having the appropriate authority to connect and use the WhatsApp account you provide to Ominigo.

You are also responsible for complying with WhatsApp, Meta and other applicable messaging-platform policies.

Ominigo does not guarantee that WhatsApp or another third-party messaging platform will remain available, unchanged or compatible with Ominigo at all times.

Ominigo uses artificial intelligence to assist with customer conversations and appointment booking.

AI responses are generated based on the information and instructions available to the system. While we work to make Ominigo reliable, AI-generated responses may occasionally be incomplete, inaccurate or inappropriate.

You are responsible for reviewing your business configuration, services, prices, opening hours, availability and other information provided to Ominigo.

Ominigo should not be relied upon as a substitute for professional human judgement where a decision requires expert advice, legal judgement, medical judgement or another form of professional assessment.

Ominigo can assist businesses with appointment scheduling and booking.

Businesses remain responsible for the accuracy of their services, prices, staff availability, opening hours and booking rules.

Ominigo does not guarantee that every appointment request will result in a successful booking.

Businesses are responsible for checking and managing appointments where necessary.

Ominigo may offer different subscription plans with different usage limits, features and credit allowances.

Your current plan, price, included credits and other usage allowances are displayed during signup, checkout or within your Ominigo account.

Ominigo may change its plans, pricing, features or usage limits from time to time. Changes to existing paid subscriptions will be communicated where required.

Trial access currently provides up to 5,000 credits, subject to the applicable trial rules displayed by Ominigo.

Credits may be consumed through AI processing, messages or other usage as described in your Ominigo account or applicable plan.

Paid Ominigo plans may be processed through third-party payment providers such as Stripe.

By purchasing a paid plan, you authorise the applicable payment provider to charge your selected payment method for the subscription or other applicable charges.

Subscription billing, renewal dates and plan-specific charges will be presented during checkout or within your account.

If a payment fails, Ominigo may restrict or suspend access to paid features until the payment issue is resolved.

Because Ominigo is a usage-based software service, refunds may depend on how much of the purchased credit allowance has already been used.

As a general policy, a refund may be considered when less than 15% of the purchased credit allowance has been used.

Refunds are reviewed on a case-by-case basis and may be refused where there is evidence of abuse, fraud, excessive usage or violation of these Terms.

Where a refund is approved, the refund will normally be issued through the original payment method or the applicable payment provider's refund process.

Payment providers may have their own processing times and rules for completed refunds.

You may request cancellation of your Ominigo subscription or account through the available account controls or by contacting support.

Unless otherwise stated during checkout, cancellation does not automatically create a refund for amounts already paid.

Any remaining access, credits or features after cancellation depend on the applicable plan and billing terms shown in your account.

You retain ownership of the business information, messages, customer information and other content that you submit to Ominigo.

You grant Ominigo the limited rights necessary to host, process, transmit and otherwise use that content solely to provide and operate the services.

You are responsible for ensuring that you have the necessary rights and permissions to provide customer information and messages to Ominigo.

Our collection and use of personal information is described in our Privacy Policy.

By using Ominigo, you acknowledge that certain information must be processed in order for the service to operate.

Ominigo may depend on third-party services including WhatsApp, Meta, Stripe, cloud infrastructure providers, AI providers and other technology services.

Ominigo is not responsible for interruptions, changes or failures caused by third-party services outside our reasonable control.

Ominigo and its underlying software, design, branding, documentation and technology are owned by or licensed to Ominigo and are protected by applicable intellectual property laws.

These Terms do not transfer ownership of Ominigo's intellectual property to you.

You may not copy, modify, distribute, reverse engineer, resell or commercially exploit Ominigo except where expressly permitted by Ominigo or applicable law.

We aim to keep Ominigo available and reliable, but we do not guarantee that the service will always be available, uninterrupted or error-free.

Ominigo may temporarily suspend or restrict parts of the service for maintenance, security, upgrades, technical issues or other operational reasons.

We may suspend or terminate an account if we reasonably believe that the account is being used unlawfully, abusively, fraudulently or in violation of these Terms.

We may also restrict access where necessary to protect Ominigo, other customers, third-party services or the security of the platform.

Ominigo is provided on an "as available" basis.

To the extent permitted by applicable law, we do not guarantee that the service will meet every business requirement, operate without interruption or produce completely accurate AI-generated responses.

You remain responsible for decisions made by your business and for reviewing information generated or processed by Ominigo where appropriate.

To the maximum extent permitted by applicable law, Ominigo will not be responsible for indirect, incidental, special, consequential or punitive losses arising from your use of the service.

This includes losses resulting from lost profits, lost business, loss of data, service interruptions or third-party service failures, except where such limitation is prohibited by law.

You agree to defend and hold Ominigo harmless from claims, losses, liabilities and expenses arising from your unlawful use of the service, your violation of these Terms, or your violation of another person's rights.

We may update these Terms from time to time.

If we make material changes, we may notify users through the website, application or email where appropriate.

Your continued use of Ominigo after updated Terms become effective means that you accept the updated Terms.

These Terms are intended to be governed by the laws applicable in Pakistan.

Any dispute relating to these Terms or the use of Ominigo will be subject to the jurisdiction of the courts having appropriate jurisdiction in Pakistan, unless applicable law requires otherwise.
